A.1.13 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For users acting as consumers, legal proceedings may be brought either before the courts of Luxembourg or before the courts of the consumer’s place of residence, in accordance with applicable European Union law. For users acting in a professional or commercial capacity, the courts of Luxembourg shall have exclusive jurisdiction

A.2 Terms and Conditions of Sale

A.2.1 Preamble

These Terms and Conditions of Sale (the “TCS”) govern the contractual relationship between Deep Real Mood Sàrl-S, having its registered office at 61, Rue de la Scierie, L-3279 Bettembourg, Luxembourg (the “Seller”), and any natural or legal person placing an order via the Seller’s website (the “Customer”). Any order placed on the Seller’s website constitutes full and unconditional acceptance of these TCS.

A.2.2 Products
The Seller offers ready-to-wear clothing products. The essential characteristics of each product are described on the Seller’s website. Product photographs are provided for illustrative purposes only and shall not be contractually binding.

A.2.3 Prices
All prices are stated in euros (€) and include all applicable taxes (VAT included). Shipping costs are not included in the product price and are indicated separately during the order process before final confirmation. The Seller reserves the right to modify prices at any time; however, products are invoiced based on the prices in force at the time the order is confirmed.

A.2.4 Orders
Orders are placed exclusively via the Seller’s website. A contract is formed only once the order has been confirmed and payment has been successfully processed. The Seller reserves the right to refuse or cancel any order for legitimate reasons, including but not limited to abnormal order volumes or suspected resale activity.

A.2.5 Payment
Payment is made online using the payment methods offered on the website (e.g. credit card, PayPal). Payments are processed through secure systems. The Seller does not store Customers’ banking or payment details.

A.2.6 Delivery
Products are delivered to the address provided by the Customer during the order process. Estimated delivery times are provided for information purposes only and may vary depending on destination. The Seller shall not be held liable for delivery delays attributable to the carrier or events beyond the Seller’s reasonable control.

A.2.7 Transfer of Risk and Ownership
Ownership of the products shall pass to the Customer only after full payment of the purchase price. For consumers, the risk of loss or damage to the products passes to the Customer upon physical receipt of the goods.

A.2.8 Right of Withdrawal, Returns and Refunds
In accordance with applicable consumer protection laws, Customers have the right to withdraw from the purchase within fourteen (14) days from the day on which they, or a third party designated by them, receive the ordered products, without providing any reason and without penalty. To exercise the right of withdrawal, the Customer must notify Deep Real Mood Sàrl-S of their decision to withdraw from the contract within the withdrawal period by means of a clear statement (e.g. email or letter).

Returned products must comply with the following conditions:

Items must be unused, unworn, and in perfect condition; Items must be returned in their original packaging; Products must be securely and properly packaged, preferably double-packaged, to prevent damage during transport. Return requests must be submitted within the 14-day withdrawal period. The Customer is responsible for organizing and covering the cost of return shipping. At present, the Seller does not provide prepaid return shipping labels but is working on a solution to offer this service in the future. Once the returned products have been received and inspected, the refund will be processed within fourteen (14) days after receiving the returned goods or proof of return, in accordance with applicable law. Refunds will be made using the same payment method originally used for the purchase, unless expressly agreed otherwise. Original delivery costs will be refunded in accordance with applicable law. Additional costs (e.g. express shipping) are non-refundable.

The right of withdrawal does not apply to products that are worn, washed, damaged, altered by the Customer, or returned without their original packaging, where such exclusion is permitted by law.

A.2.9 Legal Warranty
Products sold by the Seller benefit from the legal warranty of conformity and the warranty against hidden defects, in accordance with applicable law.

A.2.10 Liability
The Seller shall not be liable for any failure or improper performance of the contract attributable to:

the Customer,
an unforeseeable or unavoidable act of a third party, or
a force majeure event.

Nothing in these TCS shall exclude or limit liability where such exclusion is prohibited by law, including liability for intent or gross negligence.

A.2.11 Applicable Law and Dispute Resolution
These TCS are governed by the laws of the Grand Duchy of Luxembourg, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). In the event of a dispute, the Customer is encouraged to contact the Seller’s customer service to seek an amicable solution. For consumers, disputes may be brought before the courts of Luxembourg or the courts of the Customer’s place of residence, in accordance with applicable EU law. For business customers, the courts of Luxembourg shall have exclusive jurisdiction.
